Welcome to the IVC Health Digital Solution! These Terms of Use (the “Terms”) govern your access to and use of the services provided by IVC Health (Pty) Ltd and its subsidiaries and associated companies, which includes IVC Financial Services, Allegra (Pty) Ltd and all other affiliates, licensees and/or service providers (collectively, the “IVC Group,” “we,” “us,” or “our”). By accessing or using the IVC Health Digital Solution, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

In addition to these Terms, your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and disclose your personal and health information. By using the Service, you consent to our collection and use of personal data as outlined in our Privacy Policy.

1. Definitions

  • “Authorised User” means those qualifying users of the services who are duly authorised to use the IVC Health Digital Solution.
  • “Contracted Third Parties” means any appointed providers of health and commercial services required to enable the provision of services in fulfilling the contractual obligations towards you or your employer.
  • “Employer” refers to an entity that facilitates access to the IVC Health Digital Solution for its employees.
  • “IVC Care Solution” means a service acquired to provide access to the Integrated Virtual Care Network.
  • “IVC Health Digital Solution” or “Service(s)” refers to the technology platform, website (https://ivc.health), and mobile applications provided by the IVC Group that enable Authorised Users to access the IVC Care Solution and connect with independent medical practitioners for primary healthcare services.
  • “IVC Network” means the Integrated Virtual Care Network of independent medical practitioners accessible through the Service.
  • “Personal and Health Information” means information that identifies or relates specifically to you, each of your dependents, and if applicable, your employees. It shall include, but not be limited to, all your unique identifiers, biographical information, financial information, health or medical information, biometrical information, and IVC Care Benefits information, as further defined in Section 4.

2. Description of Services

The IVC Health Digital Solution is a technology platform designed to facilitate access to primary healthcare services for Authorised Users via the IVC Care Solution. The Service connects Authorised Users with independent medical practitioners by attending virtual and physical consultations using the extensive network of providers (the Service).

Services accessed through the IVC Health Digital Solution may include, but are not limited to:
  • A virtual consultation with a nurse or doctor will give access to medical treatment for primary health issues, including:
  • Prescriptions, referral letters, and sick notes
  • Medical advice
  • Baby & child support
  • Explanation of medical terms
  • Treatment of minor ailments
  • Support for chronic conditions

Important Disclaimer: IVC Health is a Technology Platform, Not a Healthcare Provider or Medical Device. The IVC Health Digital Solution is a technology platform that facilitates connections between users and independent medical practitioners. It is not a medical device, nor does the IVC Group directly provide medical advice, diagnosis, or treatment. The services, insights, and information provided through the platform are intended to support access to healthcare and promote personal well-being. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

The IVC Group does not accept any liability for the goods or services obtained from medical practitioners. These medical practitioners are and remain third parties. The service offered is limited to the facilitation of primary health care access. You acknowledge that the IVC Group is not responsible for the information, products, or services offered by these third parties. This service does not replace in‑person medical care—seek local medical professionals for emergencies.”

Use of Facial Scan Technology – Wellness Use Only: The IVC Health app includes functionality powered by remote photoplethysmography (rPPG), a non-contact imaging technology that estimates wellness-related physiological signals from facial scans using a standard RGB camera. This technology is provided by a third-party vendor (NuraLogix) and is used exclusively for general wellness and informational purposes.

The rPPG functionality is not a medical device, has not been reviewed or approved by any regulatory authority, and is classified as investigational. It is not intended to be used for diagnosis, treatment, or clinical decision-making in any jurisdiction.

No facial images or video recordings are stored or transmitted by the IVC Health platform during these assessments.

Do not rely on any wellness insights provided by the app to make health decisions. Always consult with a qualified healthcare professional before acting on any health-related information.

Emergency Disclaimer: If you think you may have a medical emergency, call your doctor or emergency services immediately.

The service offered by IVC Group can be obtained and paid for through different options:
  • As a member of an employer wellness product, where the terms would be determined by agreement with your employer.
  • As holder of a Health Wallet, subject to the terms of the Health Wallet Agreement.
  • By applying for an IVC Financial Services short-term loan, subject to an affordability assessment. The conditions of the loan are set out in the loan agreement.

3. Who May Use the Services

To use the IVC Care Solution, you must be an Authorised User, duly authorised to use the IVC Care services.

Age Requirements:

  • If you are under 13 (thirteen) years of age, you are not authorised to use the Service, with or without registering.
  • If you are under 18 (eighteen) years old, you may use the Service, with or without registering, only with the approval of your parent or guardian. By allowing a minor to use the Service, you represent and warrant that you are such minor’s parent or legal guardian and you agree to be bound by these Terms on such minor’s behalf.

Any access to services to any Authorised User of the IVC Care Solution is limited to the amount available in the Health Wallet, or range of services offered by an employer wellness product or the amount of the IVC Financial Services loan granted. Once the funds are depleted, no further services will be provided.

4. Collection and Use of Personal and Health Information

To provide the services, we require you to disclose your Personal and Health Information, as defined below, from the cellular telephone and digital applications that you use. This will assist us with coordinating the delivery of healthcare and financial solutions to you. It will also ensure that you receive the appropriate healthcare at the appropriate time and at the level of quality that you need. Your information will help us with delivering various outcomes-based disease management programs to you.

Your consent to the disclosure of your Personal and Health Information is protected by the Protection of Personal Information Act, 4 of 2013 (POPIA) and will be governed by all other applicable data protection legislation of the Republic of South Africa.

Your ‘consent’ means your voluntary, specific and informed expression of will in terms of which you give us permission to process your Personal and Health Information.

4.1 Information We Collect: We will collect your Personal and Health Information when you provide or upload your Personal and Health Information on the IVC Health app, by, for instance, completing a questionnaire, completing a survey or the creation, activation of user accounts, or maintenance of your IVC Health Digital Solution online account.

For purposes of the IVC Health Digital Solution, Personal and Health Information shall include, but not be limited t,o any information relating to:

We may also collect or obtain Personal Information about you –

  • Directly from you;
  • In the course of our relationship with you;
  • In the course of providing services to you;
  • When you make Personal Information public;
  • When you visit and/or interact with the IVC Health App or our various social media platforms;
  • When you register to use any of our services; or
  • When you interact with any third-party content or advertising on the IVC Health Digital Solution.

We may also receive personal and health information about you from third parties, including law enforcement authorities. We may create personal and health information about yo,u such as records of your communications and interactions with us, including, but not limited to, your attendance at events, subscription to our newsletters and other mailings and interactions with you during the course of our digital marketing campaigns.

4.2 How We Use Your Information: When you consent to the Terms and Conditions, including the Privacy Policy of the IVC Health Digital Solution, you consent that your Personal and Health Information will be used for the following purposes –

  • To provide and maintain the services we deliver to you;
  • To create, activate and/or maintain your profile on the IVC Health App account;
  • To access your location so that we can link you to healthcare and wellness initiatives;
  • To provide you with a summary of your activities on the IVC Health App;
  • To build coaching and self-help information to support your healthy lifestyle;
  • To give you reminders or notifications on the achievements of your health goals, your doctor’s visits, taking your medication, completing surveys or quizzes;
  • To analyse your information, make relevant inferences and send you relevant content;
  • Market, statistical and academic research;
  • To customize financial services products and services to meet your needs.

You agree that IVC and contracted third parties may use and process your Personal and Health Information for any permitted purpose, in the process of delivering the services to you and to assist us in offering appropriate products and services to you. You agree that we may collect, store, transfer and use Personal and Health Information that you provide or upload on the IVC Health Digital Solution using your wearable device, cellular telephone or any other electronic device for permitted purposes.

4.3 Your Consent and Rights: You acknowledge that you are giving your consent voluntarily. You are entitled to withhold, withdraw, change or revoke your consent relating to any aspect of the processing of your Personal and Health Information. However, you acknowledge that if you do so, we may not be able to provide you with certain services. You have the right to inform us if you do not want to receive any direct-marketing materials. You have the right to request a copy of the Personal and Health Information and to raise any queries regarding any issue pertaining to the processing of your Personal and Health Information.

5. Your IVC Health Digital Solution Account

In order to participate in the IVC Health Digital Solution, each user is required to register and create their IVC Health Digital Solution account by capturing the correct Personal Information required to activate the IVC Health Solution account.

Each time you access the IVC Health Digital Solution, you will need to enter the correct access information, or you will be required to take verification steps to verify your identity. Should you fail to authenticate yourself on the IVC Health Digital Solution, access will be denied, and you will have to follow such applicable steps as may be prescribed by the IVC Health Digital Solution to re-activate your access.

You are prohibited from sharing your login information with anyone. This includes third-party applications and websites. If you do so, you put yourself and your Personal and Health Information at risk, and the IVC Group shall bear no responsibility for any harm suffered as a result. If you provide your login details to any third party, this will constitute authority by you to such a person to act as your lawful agent. This means that anything that such a person does or does not do will be attributed to you and shall be binding on you.

Data Retention and Account Deletion

When you choose to delete your account, you can initiate this process directly within the IVC Health app. Upon your request, your account and all associated data not legally required for retention will be deleted from our active systems.

However, please note that we will retain certain personal and health information for a period of 12 months to comply with relevant South African legislation. This data will be kept for the period specified by the law to which we are subject. This retention is strictly for legal compliance and will not be used for any other purpose.

For all other data not subject to these legal retention requirements, it will be deleted promptly upon your account deletion request.

6. Conditions of Use / Prohibited Conduct

You are solely responsible for all data, video, images, information, text, photographs, messages, or other materials (“Content”) that you upload, post, publish, display (hereinafter, “upload”), or email or otherwise use via the Service.

You agree that you will not use the Service to:
  • Upload any Content that:
    • Infringes any intellectual property or other proprietary rights of any party.
    • You do not have a right to upload under any law or under contractual or fiduciary relationships.
    • Contains software viruses or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
    • Poses or creates a privacy or security risk to any person.
    • Constitutes unsolicited or unauthorised advertising, promotional materials, commercial activities, and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation.
    • Is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libellous, invasive of another’s privacy, hateful racially, ethnically, or otherwise objectionable; or, in the sole judgment of IVC Health, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose IVC Health or its users to any harm or liability of any type.
  • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
  • Violate any applicable local, regional, national, or international law, including but not limited to the Protection of Personal Information Act (POPIA), and where applicable, the Health Insurance Portability and Accountability Act (HIPAA), and the General Data Protection Regulation (GDPR) (both UK and EU versions).
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Solicit personal information from anyone under the age of 18 (eighteen), provided that if you are a parent or guardian of a child under the age of 18 (eighteen) and use the Service to manage such child’s health and activity data, such management will not be deemed a breach of this clause.
  • Harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
  • Advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorised.
  • Further or promote any criminal activity or enterprise or provide instructional information about illegal activities.
  • Obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Service.
  • Sign in as another person;
  • Use the IVC Health Digital Solution in a way that could be harmful to you or other users of the IVC Health Digital Solution;
  • Unlawfully gather information about others.

You agree that you will only use the Service for your personal, non-commercial use. Unless otherwise expressly authorised, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or upload for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

7. Third Party Distribution Channels (Apple App Store & Google Play Store)

IVC Health offers Software applications that may be made available through various “Distribution Channels” such as the Apple App Store and Google Play Store. If you obtain such Software through a Distribution Channel, you may be subject to additional terms of the Distribution Channel. These Terms of Use are between you and IVC Health only, and not with the Distribution Channel. To the extent that you utilise any other products and services in connection with your use of our Services, you agree to comply with all applicable terms of any agreement for such third-party products and services.

7.1 Apple-Enabled Software: With respect to Software that is made available for your use in connection with an Apple-branded product (such Software, “Apple-Enabled Software”), in addition to the other terms and conditions set forth in these Terms of Use, the following terms and conditions apply:

  • IVC Health and you acknowledge that these Terms of Use are concluded between IVC Health and you only, and not with Apple Inc. (“Apple”), and that as between IVC Health and Apple, IVC Health, not Apple, is solely responsible for the Apple-Enabled Software and the content thereof.
  • You may not use the Apple-Enabled Software in any manner that is in violation of or inconsistent with the Usage Rules set forth for Apple-Enabled Software in, or otherwise be in conflict with, the App Store Terms of Use.
  • Your license to use the Apple-Enabled Software is limited to a non-transferable license to use the Apple-Enabled Software on an iOS Product that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Use.
  • Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Apple-Enabled Software.
  • Apple is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the Apple-Enabled Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Apple-Enabled Software to you, if any; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apple-Enabled Software, or any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty, which will be IVC Health’s sole responsibility, to the extent it cannot be disclaimed under applicable law.
  • IVC Health and you acknowledge that IVC Health, not Apple, is responsible for addressing any claims of you or any third party relating to the Apple-Enabled Software or your possession and/or use of that Apple-Enabled Software, including, but not limited to: (i) product liability claims; (ii) any claim that the Apple-Enabled Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the Apple-Enabled Software or the end-user’s possession and use of that Apple-Enabled Software infringes that third party’s intellectual property rights, as between IVC Health and Apple, IVC Health, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
  • You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

7.2 Google Play Store-Enabled Software: With respect to Software that is made available for your use through Google Play Store, in addition to these Terms of Use, the following terms and conditions apply:

  • IVC Health and you acknowledge that these Terms of Use are concluded between IVC Health and you only, and not with Google Play Store (“Google”), and that as between IVC Health and Google, IVC Health, not Google, is solely responsible for the Google Play Store-Enabled Software and the content thereof.
  • You may not use the Google Play Store-Enabled Software in any manner that is in violation of or inconsistent with the Usage Rules set forth for Google Play Store-Enabled Software in, or otherwise be in conflict with, the Google Play Store Terms of Use.
  • Your license to use the Google Play Store-Enabled Software is limited to a non-transferable license to use the Google Play Store-Enabled Software on an Android Product that you own or control, as permitted by the Usage Rules set forth in the Google Play Store Terms of Use.
  • Google has no obligation whatsoever to provide any maintenance or support services with respect to the Google Play Store-Enabled Software.
  • Google is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the Google Play Store-Enabled Software to conform to any applicable warranty, you may notify Google.
  • Google will have no other warranty obligation whatsoever with respect to the Google Play Store-Enabled Software, or any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty, which will be IVC Health’s sole responsibility, to the extent it cannot be disclaimed under applicable law.
  • IVC Health and you acknowledge that IVC Health, not Google, is responsible for addressing any claims of you or any third party relating to the Google Play Store-Enabled Software or your possession and/or use of that Google Play Store-Enabled Software, including, but not limited to: (i) product liability claims; (ii) any claim that the Google Play Store-Enabled Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the Google Play Store-Enabled Software or the end-user’s possession and use of that Google Play Store-Enabled Software infringes that third party’s intellectual property rights, as between IVC Health and Google, IVC Health, not Google, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
  • You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

You acknowledge and agree that Apple, Apple’s subsidiaries, Google, and Google’s subsidiaries are third-party beneficiaries of these Terms of Use with respect to the Apple-Enabled Software and Google Play Store-Enabled Software. Upon your acceptance of these Terms of Use, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use against you as third-party beneficiaries with respect to the Apple-Enabled Software and Google Play Store-Enabled Software.

8. Intellectual Property Rights

You acknowledge and agree that the Service may contain data or other content or features (“Service Content”) that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorised by IVC Health, and except for your own Content that you legally upload to the Service, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Service Content, in whole or in part. In connection with your use of the Service, you will not engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods. Any use of the Service or the Service Content other than as specifically authorised in these Terms is strictly prohibited.

The technology and software underlying the Service or distributed in connection with it are the property of IVC Health, our affiliates, and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted in these Terms are reserved by IVC Health.

The IVC Health name and logos are trademarks and service marks of the IVC Group. Other company, product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to IVC Health. Nothing in these Terms of Use or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of IVC Health’s trademarks displayed on the Service without our prior written permission in each instance. All goodwill generated from the use of IVC Health trademarks will inure to our exclusive benefit.

8.1 Your User Data/Content: With respect to the data or other content or other materials you upload through the Service or share with other users or recipients (collectively, “User Data/Content”), you represent and warrant that you own all right, title, and interest in and to such User Data/Content, including, without limitation, all copyrights and rights of publicity contained in them. By uploading or making available any User Data/Content, you grant and will grant IVC Health and its affiliated companies a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, license to copy, display, upload, perform, distribute, store, modify, and otherwise use your User Data/Content in connection with the development and operation of the Service.

You agree that IVC Health and its affiliated companies have the right to de-identify or aggregate any User Data/Content (the result thereof not being considered User Data/Content hereunder) and will be free at any time to fully utilise and disclose such de-identified or aggregated data for their business purposes.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Service (“Submissions”), provided by you to IVC Health are non-confidential and IVC Health will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You acknowledge and agree that IVC Health may preserve data or other content and may also disclose data or other content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (i) comply with legal process, applicable laws, or government requests; (ii) enforce these Terms of Use; (iii) respond to claims that any data or other content violates the rights of IVC Health, its users, and the public. You understand that the technical processing and transmission of the Service, including your data or other content, may involve: (i) transmissions over various networks; and (ii) changes to conform and adapt to the technical requirements of connecting networks or devices.

9. Third-Party Websites and Services

Third-party operators of websites, which may be accessed via hyperlinks from the IVC Health Digital Solution, might gather and store Personal Information when you access their websites. We do not accept any liability for those Third-Party Operators. We encourage you to read their privacy policies carefully.

10. Indemnity and Release

You agree to release, indemnify, and hold IVC Health and its affiliates, along with their officers, employees, directors, and agents (collectively, “Indemnitees”), harmless from any and all losses, damages, expenses (including reasonable attorneys’ fees), rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Service, any User Data/Content, your connection to the Service, your violation of these Terms of Use, or your violation of any rights of another.

11. Disclaimer of Warranties

YOUR USE OF ANY OF OUR SERVICES AND/OR PRODUCTS IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. IVC HEALTH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF FITNESS FOR ANY PARTICULAR PURPOSE.
